Key Information

The joint-stock company Slovenské elektrárne was founded on the 21st January 2002 as a new entity of the estate and the legal successor of the original Slovenské elektrárne, a.s., of which the assets of the Slovak power grid operator SEPS and the heating company Tepláreň Košice were spun off.

Ownership structure of Slovenské elektrárne is the following: the Slovak Republic owns 34% (shareholder's rights are executed by the Ministry of Economy of the Slovak Republic) and the company Slovak Power Holding BV (SPH) owns 66% of Slovenské elektrárne shares.

On 28 July 2016, Energetický a průmyslový holding, a.s. (EPH) closed the first phase of buying into Slovenské elektrárne through EPH's subsidiary, EP Slovakia BV. EP Slovakia became a 50% shareholder in SPH and the other 50% remains under Enel Group's ownership for the time being.

On 18 December, 2015, Enel Produzione S.p.A. signed a contract with EP Slovakia BV for the sale of the stake held by Enel Produzione in Slovenské elektrárne, equal to 66% of the latter’s share capital. The sale is executed as a transfer of Enel Produzione's entire stake in Slovenské elektrárne to a newly established company SPH, and the eventual sale to EP Slovakia – in two phases – of 100% of the share capital of SPH.

On the same topic, Enel Produzione and the Slovak Ministry of the Economy signed a Memorandum of Understanding on 21 December 2015.
